Registering
a Corporation in Saskatchewan
Registration
Process for corporations falls under The Business Corporation Act. In
Saskatchewan, each business requires a municipal or city business license
for each municipality in which it operates. Depending on the nature of
your business, additional license and registration requirements may be
applicable, such as GST registration, PST registration, provincial Education
and Health Tax license, through various federal and provincial departments.
Following are the steps required for the registration process in Saskatchewan:
Step
1: Request for Name search and reservation
The first step to incorporate your business is to select the name of your
Corporation. Choosing a corporate name can be a difficult task. To increase
the chances of your proposed name being accepted, try to select a name
that is as distinct as possible, yet accurately describes your business.
If your proposed corporate name uses common or popular names, the chances
are that it may not be accepted. Furthermore, you may not be allowed to
use a name which is either identical or deceptively similar to one that
is already used by another corporation or competitor in your jurisdiction.

Step 2:
Conduct Search for Business Name
If the proposed name does not appear to be deceptively/confusingly similar
to the name of an existing organization or corporation, and does not appear
otherwise to contravene the Act or the Regulations then you should obtain
Provincial Name Search report for the proposed name of the corporation.
This search,
done by a Searcher of Records, confirms no one else has a business or
registered trademark with the same name or similar to the name you've
chosen for your corporation. You must provide a current Provincial Name
Search Report with your application for incorporation.

Step 3:
Select Number of Shares
A shareholder is a person (individual or corporation) who owns shares
in the corporation. Shares may be issued, as the directors may seem appropriate.
When shares are issued, a resolution of directors is usually passed out
of the number of shares to be issued, to whom and for what consideration.
Actual shares certificates must be issued and corporation must keep careful
records of each shareholder and the number of shares held by each. Shares
must be issued before the corporation commences business.
A corporation may issue as few or as many shares as it desire. The important
point is that the proportion of shares that is initially issued to each shareholder,
rather than the actual number. It may be advantageous to issue a larger amount of
shares. It may facilitate selling a portion of these shares at a later date since
each share will have a lower value. Also, subsequent share issues from the corporation
may be more attractive to investors since the value of the shares would be lower
given the larger number of shares that were already issued.
Step 4:
Select Shareholders for your Corporation
Shareholders of the company must be selected for the corporation as these
are the person(s) who own the shares in the corporation. Whoever holds
the shares of a corporation essentially "owns" the corporation. By reason
of the votes that are usually attached to the shares, the shareholders
control the operations of the corporation. Every private corporation must
have at least 1 shareholder and there may be several shareholders but
not more than 50 in total. You would also need the residential address
of the shareholders.
Step5:
Select Directors for your Corporation
The directors of the company must be decided for the corporation as they
are responsible to administer the affairs of the corporation and make
all major decisions for the corporation. Every corporation must have at
least 1 director. A Saskatchewan corporation requires that a majority
of directors be Canadian residents. If there are only 2 directors, then
only 1 is required to be a Canadian resident.
Step 6:
Select Officers for your Corporation
Next step is to decide the officers of the corporation, which are individuals
who hold the senior management positions like President, Vice-President,
Secretary, Treasurer and many others. It is mandatory to appoint a President
and a Secretary. Officers may hold more than one office or position and may
also be directors and shareholders of the corporation.
Step
7: Select Fiscal Year end for your Corporation
A fiscal year is any 12-month period used by a corporation as its official accounting period.
A fiscal year-end is the official last day of the fiscal year of a corporation. The fiscal
year-end does not need to be December 31, but is typically the last day of the chosen month.
Step 8:
Complete the Articles of Incorporation
Your next step is to complete the Article of incorporation under The Business
Corporations Act.
Step 9:
File your Application for Incorporation
Your application must include the completed Articles of Incorporation,
a current Provincial Name search report and appropriate fee.
If you are
filing your documentation in person or by mail, the registration fee is $265
If you are filing electronically, you will pay a fee of $215, plus the fee
charged by the primary service provider.
